Proposed ByLaws changes for May 2010 AGM

At the February 10, 2010 Board Meeting, the WCSRA Board of Directors passed a motion recommending to membership several minor amendments to the WCSRA ByLaws. As specified in Article 8, Section 1 (Amendment of Bylaws), notice is hereby given to all WCSRA Members that it is the Board's intent to ask Membership at the Annual General Meeting (on May 12, 2010) to approve the recommended amendments, as generally described below and as documented in detail in the Provisional ByLaws available at WCSRA.ORG.
- Section 5.4, Treasurer's Duties
- Item 6 is modified from "statue" to statute which corrects a typographical error.
- Section 6.1, Board Meetings
- The definition for what constitutes a Quorum for the purposes of holding a Board Meeting is modified to Reference defined Board Positions (from Article 3, Section 5) to more clearly define how many Board Members must be present to constitute a quorum.
- Section 6.3, Annual General Meeting
- The month each year for the Annual General Meeting is changed from October to May
- Section 7.5, Compensation
- In the second sentence, the phrase "as otherwise provided in this Section" is modified to be "as otherwise provided in this Article ".
